Article 1: Proprietary Information & Trade Secret Protection

The Licensee agrees that the localized Gulf Coast rates and cost modeling parameters represent proprietary engineering data. Exportation, distribution, transmission, or disclosure of these rates or cost structures to any third-party estimating firm, competitor software agency, or un-affiliated refinery facility is strictly prohibited. The rates library must remain exclusively within authorized corporate intranet networks.

Article 2: Scope of License Grant & Site-Wide Restrictions

Under this Platform Agreement, GOIS grants the corporate subscriber a limited, non-transferable, non-exclusive site license to install, launch, and utilize the outage tracker natively within specified refining facilities.

This license is strictly bound to the designated refining complex (specifically authorized for the Baton Rouge Refinery complex under key GOIS-BTR-2026-9E2A-4F8C-9B3E). Installation or network staging on shared drives accessible by personnel in unlicensed refinery corridors or external corporate subsidiaries is a material violation of this agreement and will trigger site-wide authentication lockdowns.

Article 4: Collaborator Integrity & Decentralized Role Responsibility

Restricted roles (e.g. Scaffold Contractor, API 653 Inspector) must ensure that progress updates (0% to 100%), welder certifications, NDE verification comments, and material staging records represent real-world, verified field progress. Proposing alterations to active direct costs or standard loaded unit prices without valid, logged engineering justification reason codes is a violation of site audit protocols.

Article 5: Subscription Billing, PO net-30 Terms & Expiry Gates

Active site subscriptions are billed on an annual cycle of $50,000 per refinery location. Billing transactions are processed through formal corporate Purchase Orders (PO) under standard NET-30 billing cycle terms.

LIMITATION OF LIABILITY & DAMAGES: In no event shall the platform creators, developers, copyright owners, or distributors of the GulfCoast Outage Intelligence System (GOIS) be liable for any direct, indirect, special, incidental, or consequential damages resulting from the use, misuse, or inability to use this software. This includes, without limitation, physical refinery project cost overruns, outage schedule delays, material procurement errors, structural inspection oversights, safety incidents, refinery downtime, loss of profits, or loss of local storage persistence data.

INDEMNIFICATION & MAXIMUM REMEDY: The Licensee agrees to indemnify, defend, and hold harmless the developers and creators of GOIS from any third-party claims, legal actions, or financial losses arising from estimates compiled using this platform. Under no circumstances shall the platform creator’s total cumulative liability for any breach, negligence, error, or omission exceed the total amount of licensing fees actually paid by the Licensee during the preceding 12-month period (capped at a maximum of $50,000 USD).
